1. Acceptance of Terms

By participating in the Prestige Reserve Program ("Program") and/or becoming a Founder's Circle Member ("Membership"), you agree to be bound by these Terms & Conditions ("Terms"), as well as our general Website Terms of Use and Privacy Policy, which are incorporated herein by reference. If you do not agree to these Terms, do not participate in the Program or Membership. These Terms constitute a legally binding agreement between you and European Central Brand ("Company", "we", "us", or "our").

2. Definitions

• Company: Refers to European Central Brand, operating the website and marketplace at eucb.co.uk.
• User: Any individual accessing our website or marketplace.
• Client: A User who has made a purchase or registered an account with the Company.
• VVIP Client: A Client participating in the Prestige Reserve Program at Tier 1 or Tier 2.
• VIC Member (Very Important Client): A Client who has received and accepted an invitation to join the Founder's Circle Membership and participates in the Prestige Reserve Program at Tier 3, Tier 4, or Tier 5.
• Prestige Reserve Account: The account where a participant's Pre-loaded Balance and Free Shopping Credit are held.
• Pre-loaded Balance: The funds directly contributed by you into your Prestige Reserve Account via accepted payment methods.
• Free Shopping Credit: Bonus credit awarded by the Company to your Prestige Reserve Account upon successful pre-loading of funds, as detailed in Section 4. Free Shopping Credit is non-transferable and has no cash value except as expressly permitted for use towards eligible purchases on our marketplace after the Pre-loaded Balance is depleted.
• Program: Refers to the Prestige Reserve Program, allowing Clients to pre-load funds and earn Free Shopping Credit.
• Membership: Refers to the Founder's Circle Membership, an exclusive tier offered by invitation only, accessible via specific tiers of the Prestige Reserve Program, granting additional privileges.
• Website: Refers to eucb.co.uk.

3. Founder's Circle Membership Eligibility and Terms

• Invitation Only: Founder's Circle Membership is extended strictly by invitation only to select Clients. Receiving an invitation does not guarantee Membership unless the eligibility requirements are met and maintained.
• Eligibility: To become a VIC Member, an invited Client must successfully participate in the Prestige Reserve Program by pre-loading funds into their Prestige Reserve Account at Tier 3, Tier 4, or Tier 5.
• Membership Term: Founder's Circle Membership is granted on an annual basis, commencing from the date of successful pre-loading at an eligible tier (Tier 3, 4, or 5).
• Membership Renewal: To maintain active VIC Membership status for the subsequent year and continue enjoying associated privileges, the VIC Member must renew their participation by successfully pre-loading funds into their Prestige Reserve Account at Tier 3, Tier 4, or Tier 5 before the expiry of their current annual term. Failure to renew will result in the cessation of Founder's Circle Membership privileges at the end of the current term. Any remaining Prestige Reserve balance will remain subject to these Terms.

4. Prestige Reserve Program Details

• Enrollment: Participation in the Prestige Reserve Program is available to Clients upon meeting eligibility requirements defined by the Company.
• Loading Funds: Clients can pre-load funds into their Prestige Reserve Account using accepted payment methods, including debit cards, credit cards, or bank transfers. Minimum pre-load amounts correspond to the defined tiers on the Website: https://offpriceretail.network/pages/the-founders-circle
• Currency: All Prestige Reserve balances and Free Shopping Credit are denominated in Great British Pounds (£). Conversion fees or exchange rate fluctuations for transactions originating outside the UK are the responsibility of the Client.
• Earning Free Shopping Credit: Upon successful pre-loading of funds into your Prestige Reserve Account, the corresponding Free Shopping Credit amount for your tier will be instantly added to your account balance, as outlined on the Program details page on the Website. The current Free Shopping Credit structure is:

* Tier 1 (£1,000 Preload): £100 Free Shopping Credit
* Tier 2 (£2,000 Preload): £250 Free Shopping Credit
* Tier 3 (£3,000 Preload): £400 Free Shopping Credit
* Tier 4 (£4,000 Preload): £600 Free Shopping Credit
* Tier 5 (£5,000 Preload): £875 Free Shopping Credit

• Non-Expiry: Both the Pre-loaded Balance and the earned Free Shopping Credit in your Prestige Reserve Account do not expire.
• Non-Transferable: The Prestige Reserve balance and Free Shopping Credit are associated with your individual Client account and are non-transferable to any other person or entity.
• No Cash Value: Free Shopping Credit has no inherent cash value and cannot be redeemed for cash, except through application to eligible purchases on our marketplace as per these Terms.

5. Using Your Prestige Reserve Balance and Free Shopping Credit

• Eligible Purchases: Your Prestige Reserve balance (both Pre-loaded Balance and Free Shopping Credit) can be used towards eligible purchases made on the Company's marketplace website eucb.co.uk. The Company reserves the right to designate certain products or services as ineligible for purchase using Prestige Reserve funds or Free Shopping Credit at its sole discretion.
• Order of Use: When making a purchase, your available Pre-loaded Balance will be applied to the purchase amount first. Only after your Pre-loaded Balance has been fully utilized will any available Free Shopping Credit be applied towards the remaining purchase amount.
• Partial Payments: If a purchase exceeds your available Prestige Reserve balance (Pre-loaded Balance + Free Shopping Credit), the remaining amount must be paid using another accepted payment method.

6. Withdrawal of Funds

• Withdrawal of Pre-loaded Balance Only: You may request to withdraw your remaining Pre-loaded Balance from your Prestige Reserve Account.
• Exclusion of Free Shopping Credit: Free Shopping Credit is not eligible for withdrawal and has no cash value upon withdrawal of the Pre-loaded Balance.
• Withdrawal Process: To request a withdrawal of your remaining Pre-loaded Balance, you must provide the Company with a written notice of your request.
• Notice Period: A mandatory thirty (30) day notice period is required for processing all withdrawal requests from the Prestige Reserve Program.
• Forfeiture of Free Shopping Credit: Upon submission of a request to withdraw any portion of your Pre-loaded Balance, all Free Shopping Credit currently held in your Prestige Reserve Account will be immediately forfeited and cancelled. No compensation will be provided for forfeited Free Shopping Credit.
• Processing: Withdrawals will be processed using a method determined by the Company, typically returning funds to the original source of payment where possible, or via bank transfer if necessary, within a reasonable time after the 30-day notice period has elapsed.

7. Founder's Circle Membership Benefits

• Active VIC Members are entitled to a range of exclusive benefits, which are subject to availability, change, and specific terms as communicated by the Company. Current benefits include categories such as:

* Priority Access: Early access to exclusive collections, limited-edition products, collaborations, and new arrivals.
* Personalized Experiences: Access to dedicated customer care support, personalized styling sessions, and invitations to exclusive brand events in the USA & Canada (including private experiences, product launches, fashion/art shows), and special VIP tickets/meet-and-greets at sponsored events.
* Luxury Welcome Gift: A complimentary Hermès Fragrance Gift Set is provided to new VIC Members upon joining (or upon first annual renewal). Gifts are provided while supplies last and may be substituted at the Company's discretion. Specific gift details are subject to change.
* Complimentary Seasonal Gifts: Access to the Company's seasonal gifting program. Gifts are provided at the Company's discretion and without purchase requirements for active VIC Members. Specific gifts and timing are not guaranteed.
* Regular VIP Updates: Exclusive insider updates on marketplace developments, performance, new brand partnerships, limited-stock releases, and potential investment opportunities related to the Company's expansion.
* Coveted Handbag Access: Active Founder's Circle VIC Members receive priority consideration for and access to the queue for highly coveted, limited-supply, and limited-edition handbags from specific luxury brands (e.g., Hermès Birkin/Kelly, Chanel Classic/Double Flap). This benefit provides priority status within the allocation process and access to request specific items; it does NOT guarantee the availability or successful acquisition of any specific handbag. Allocation remains subject to extremely limited supply and brand partner policies.

• Benefits are intended for the personal enjoyment of the VIC Member and may not be transferred unless expressly permitted by the Company.

8. Changes to the Program, Membership, or Terms

The Company reserves the right to modify, suspend, or terminate the Prestige Reserve Program, Founder's Circle Membership, or any aspect thereof, including but not limited to, the Free Shopping Credit earning structure, benefit offerings, tiers, and these Terms, at any time and for any reason, with or without notice. All changes will be effective immediately upon posting the revised Terms on the Website, unless otherwise stated. Your continued participation in the Program or Membership after any such changes constitutes your acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

9. Termination or Suspension of Participation

• By You: You may cease your participation in the Prestige Reserve Program and Founder's Circle Membership at any time by contacting us. If you choose to withdraw your remaining Pre-loaded Balance, the terms in Section 6 will apply.
• By Company: We reserve the right to suspend or terminate your access to your Prestige Reserve Account, Founder's Circle Membership, and participation in the Program or Membership at our sole discretion, immediately and without notice, if we believe you have violated these Terms, engaged in fraudulent or abusive activity, or for any other reason deemed appropriate by the Company. In the event of termination due to your breach of these Terms, any Pre-loaded Balance and Free Shopping Credit in your account may be forfeited.

10. Disclaimer of Warranties

THE PRESTIGE RESERVE PROGRAM AND FOUNDER'S CIRCLE MEMBERSHIP, INCLUDING ALL BENEFITS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROGRAM OR MEMBERSHIP, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PROGRAM OR MEMBERSHIP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PROGRAM OR MEMBERSHIP; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PROGRAM OR MEMBERSHIP; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR ACCOUNT OR CONTENT. IN NO EVENT SHALL THE COMPANY'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE PROGRAM OR MEMBERSHIP EXCEED THE LESSER OF (A) THE TOTAL AMOUNT YOU HAVE PRE-LOADED INTO YOUR PRESTIGE RESERVE ACCOUNT WITHIN THE LAST TWELVE (12) MONTHS, OR (B) ONE HUNDRED GREAT BRITISH POUNDS (£100).

12. Intellectual Property

All content related to the Prestige Reserve Program and Founder's Circle Membership, including text, graphics, logos, images, and program names, are the intellectual property of the Company or its licensors and are protected by applicable intellectual property laws. Your participation does not grant you any rights to use such intellectual property.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms, the Program, or Membership shall be resolved in the competent courts of Paris, France.

14. Privacy

Your privacy is important to us. Please refer to our Privacy Policy for information on how we collect, use, and disclose your personal information in connection with the Program and Membership.

5. Miscellaneous

• Entire Agreement: These Terms, together with the Website Terms of Use and Privacy Policy, constitute the entire agreement between you and the Company regarding the Program and Membership.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Notices: Any notices related to these Terms, the Program, or Membership will be provided by posting on the Website, via email to the address associated with your account, or through other reasonable means.
