Introduction
EUCB and The Luxe Canada operate within a global luxury ecosystem consisting of:
- curated Pillar Collections
- personal shopper services
- access to the Off Price Retail Network (OPRN) Marketplace
Clients may choose which purchasing pathway best fits their preferences, budget, and collecting goals. The purpose of this orientation document is to provide clients with a clear explanation of how the modern luxury retail ecosystem operates and how EUCB, The Luxe Canada, and the Off Price Retail Network function within that environment. The intention of this document is to ensure that clients make informed purchasing decisions while understanding the structure of the luxury marketplace and the different supply channels through which designer goods may circulate.
Understanding the Luxury Market
Luxury goods today circulate through several retail channels.
A. Primary Retail Market
The traditional luxury retail environment where products are sold directly through brand boutiques and official stores at full retail price.
B. Secondary Market
Pre-owned or vintage luxury products circulating through resale platforms and private collectors.
C. Alternative Distribution Market
A third distribution channel exists through off-price retail networks, sometimes referred to as the “grey market,” which operates outside traditional boutique retail channels. Products circulating through these channels may originate from a variety of legitimate supply pathways including:
- surplus production
- cancelled retail orders
- excess inventory
- seasonal rotation
- outlet distribution programs
- international parallel imports
- returned-to-vendor merchandise
- items that do not meet the exact presentation specifications required for
boutique retail Products circulating through alternative distribution markets may include merchandise returned to the original vendor or distributor following the cancellation of retail orders, seasonal rotation, inventory rebalancing, or other commercial considerations. Such products may re-enter the market through outlet networks, off-price retailers, or independent distribution channels.
The Global Off-Price Retail Industry
Off-price luxury retail is a large and well-established global industry. Major retailers operating in this sector include (to name a few): United States
- TJX Companies
- Marshalls
- Ross
- Burlington
- Nordstrom Rack
- Saks OFF 5TH
- Century 21
Europe
- TK Maxx
- Bicester Village
- La Vallée Village
- Serravalle Designer Outlet
Online off-price platforms include:
- The Outnet
- Gilt
- Rue La La
These retailers distribute designer products at reduced prices through alternative distribution agreements and secondary supply networks. The off-price retail industry has grown into a multi-billion-dollar global sector.
Behind the Scenes of Luxury Manufacturing
Many people assume luxury products are manufactured exclusively inside brand-owned workshops. In reality, most luxury brands design their products internally but collaborate with networks of specialised manufacturers and artisans located in:
- Italy
- France
- Spain
- Portugal
- Eastern Europe
- other global production centres
These independent factories often produce components or finished goods for multiple luxury brands. It is common for brands to distribute production across several factories in order to reduce supply chain risk and maintain production flexibility.
Luxury brands and manufacturers frequently rely on diversified supplier networks to manage labour availability, production capacity, geopolitical considerations, and global supply chain disruptions.
Why Some Products Enter Alternative
Distribution Channels In modern manufacturing, production does not always result in identical products meeting the exact presentation standards required for flagship boutique retail. Luxury brands and manufacturers typically maintain strict quality-control thresholds for products intended for boutique distribution. Items that do not meet those precise presentation standards — even when they remain functional and structurally sound — may be redirected through alternative distribution channels. This process forms part of what many industries refer to as a circular or secondary distribution economy, where products are redistributed through outlet networks, off-price retail channels, or secondary markets rather than being discarded. Examples of how products may enter these channels include:
- surplus production beyond boutique demand
- cancelled retail orders
- seasonal inventory redistribution
- outlet-specific production programs
- products returned to vendors
- items that do not meet the exact presentation specifications required for
boutique retail
In many cases, these products remain perfectly usable but may differ from boutique merchandise in aspects such as:
- packaging or accessories
- cosmetic tolerances
- production specifications for outlet distribution programs
- component configurations
- finishing details
Rather than discarding these goods, manufacturers and distributors often redirect them through alternative retail channels. This practice helps reduce waste and supports what is increasingly referred to as a circular economy, where usable products are redistributed through secondary markets rather than destroyed. As a result, products circulating through alternative distribution markets may be offered at significantly lower prices compared to boutique retail channels.
Differences Between Retail Channels
Products sold through boutique retail channels and those circulating through alternative distribution markets may differ in several ways. Some products are produced specifically for factory outlet distribution programs. Others originate from surplus inventory, distribution agreements, parallel imports, or returned-to-vendor merchandise. Because of these different distribution pathways, aspects such as packaging, accessories, labeling, hardware, serial formatting, component specifications, or presentation may vary between boutique merchandise and products circulating through off-price retail channels.
Outlet Production and Commercial Product
Variations It is widely recognised within the luxury retail industry that some products sold through factory outlet villages or alternative distribution programs may be manufactured specifically for those channels.
These items may be produced within the same manufacturing networks used by luxury brands but may incorporate different materials, component specifications, production methods, or finishing standards designed to support outlet pricing structures. Products circulating through outlet or secondary distribution channels may therefore differ from boutique-distributed reference models while still originating from legitimate supply pathways.
Expectation of Variation Clause Due to the nature of global luxury manufacturing and multi-channel distribution, products circulating through alternative retail channels may exhibit variations in materials, finishing, packaging, labeling, hardware, component specifications, serial formatting, accessories, or presentation when compared with boutique-distributed reference models. Such variations are a normal commercial feature of the luxury retail ecosystem and do not in themselves indicate that a product is counterfeit. By proceeding with a purchase through the marketplace environment, the Client acknowledges and accepts the possibility of such variations.

EUCB and The Luxe Canada curate their own Pillar Collections which may include:

Accessing the OPRN Marketplace
Clients who wish to explore additional offers beyond EUCB / TLC Pillar Collections may access the broader Off Price Retail Network (OPRN) Marketplace. This marketplace contains offers from multiple independent third-party sellers. In this environment:
- EUCB / TLC affiliates act as personal shoppers assisting the Client
- the product seller is the independent marketplace vendor
- affiliates and EUCB / TLC do not act as the seller of the product
Marketplace Intermediary Clause When a Client chooses to purchase an item listed by an independent seller within the Off Price Retail Network (OPRN) Marketplace, the sale is conducted directly between the Client and the independent seller offering the product. EUCB, The Luxe Canada, and their affiliates act solely as marketplace facilitators and personal shopping coordinators assisting the Client in accessing available offers. Unless expressly stated otherwise in writing, EUCB, The Luxe Canada, and their affiliates do not manufacture, own, or sell products listed by independent marketplace vendors and therefore do not act as the merchant of record for those transactions. The Client acknowledges that the contractual relationship governing the sale of marketplace goods exists between the Client and the independent seller.
Role of Personal Shoppers
The Client understands that affiliates and personal shoppers may assist with:
- identifying available marketplace offers
- facilitating communication with sellers
- assisting the Client in navigating the marketplace
- coordinating logistics communication where necessary
However, personal shoppers do not manufacture, own, or sell products listed by independent marketplace vendors unless expressly stated otherwise in writing.
Order Processing & Logistics
Marketplace orders pass through a third-party logistics and inspection provider: TransAtlantic Italia (Madrid) This logistics partner performs:
- quality control inspection
- product documentation and photography
- authentication review
- shipment preparation
- logistics coordination prior to dispatch
Clients may track the progress of their orders through the marketplace order system.
Shipping & Delivery
In most cases, products are shipped directly to the Client by the logistics provider. Personal shoppers normally do not hold inventory unless specifically authorised by the Client. Marketplace fulfilment services, including inspection coordination and shipment processing, may be provided without additional charge to the Client as part of the marketplace workflow. However, under the applicable marketplace procedures, any return initiated by the Client must be shipped back to the designated inspection facility at the Client’s expense.
Authentication and Market Realities
Authentication services provide professional assessments based on expertise in product construction, materials, and brand characteristics. However, authentication is ultimately an expert opinion rather than certification issued by the brand owner.
Independent authentication services operate without access to internal production databases, proprietary manufacturing archives, or component specifications maintained by luxury brands. For this reason, authentication providers typically include disclaimers stating that their assessments represent professional opinions rather than definitive determinations of authenticity. Different authentication providers may therefore reach different conclusions regarding the same item depending on the methodology or reference materials available to them. Authentication providers frequently use classifications such as:
- “Unidentified”
- “Unable to determine authenticity”
These classifications reflect the limitations of external authentication methods and acknowledge that such services are not authorised by the brands themselves to issue conclusive authenticity determinations. Retail staff working in brand boutiques are generally not authorised by the brand owners to authenticate products presented by members of the public. Luxury brands frequently discourage retail employees from providing authentication determinations outside official internal procedures. Informal opinions obtained from boutique employees, retail staff, third-party individuals, or social media sources therefore cannot be considered conclusive evidence regarding authenticity.
Comparative Authentication Clarification Comparisons based solely on visual inspection against boutique merchandise, personal collections, retail displays, or products originating from different retail channels cannot be considered definitive authentication determinations. Differences in materials, production specifications, finishing, or presentation may arise from legitimate variations in manufacturing pathways, outlet production programs, or alternative distribution channels.
Post-Purchase Handling and Chain of
Custody Once a product has been delivered to the Client, any subsequent handling, inspection, transfer, storage, or transportation of the item outside the authorised marketplace return procedure occurs solely under the Client’s responsibility. If the item is handled by third parties or transferred outside the designated inspection framework, the chain of custody may be interrupted and the marketplace may no longer be able to verify the item against the original shipment records. Under such circumstances, verification against the original shipment documentation may no longer be possible unless the product is returned through the designated inspection process.
Inspection Gate Clause Any authenticity concern must be addressed through the marketplace return and inspection procedure so that the item may be evaluated against the original shipment records and quality control documentation. No determination regarding authenticity or refund eligibility can be made without completion of this process.
Inspection Window and Transaction Finality
Upon delivery of the product, the Client is responsible for inspecting the item within seventy-two (72) hours of confirmed delivery. The inspection window begins upon delivery confirmation recorded by the shipping carrier. Any concern regarding the item must be communicated within this inspection period so that the designated return and inspection procedure may be initiated. If no concern is raised within the inspection period and the designated return procedure is not initiated, the transaction shall be deemed accepted by the Client and the sale considered final, subject to the applicable marketplace procedures.
Failure to initiate the designated return procedure within the inspection period may limit the ability of the marketplace to verify the item against the original shipment records and may therefore affect eligibility for review or refund.
Supplier and Commercial Network
Confidentiality EUCB, The Luxe Canada, and the Off Price Retail Network operate through a global network of suppliers, distributors, logistics providers, and sourcing partners. To protect commercial relationships and supply chain integrity, the identities of individual suppliers, sourcing partners, factories, distributors, and procurement channels are considered confidential business information and are therefore not disclosed to clients. This confidentiality practice is standard within the retail and distribution industry and does not affect the marketplace verification, inspection, or transaction procedures described in this document.
Dispute Resolution and Public Statements
The Client agrees that any concern regarding the transaction, including questions relating to authenticity or product condition, must first be addressed through the marketplace return and inspection procedure described in this document. Public statements, social media posts, or third-party allegations made prior to completion of the designated inspection process may not reflect the full factual record of the transaction and therefore cannot be considered definitive determinations regarding the product or the parties involved. For transparency and documentation purposes, all communications and materials relating to marketplace disputes may form part of the transaction record and may be reviewed by the relevant marketplace sellers, payment processors, financial institutions, logistics providers, and dispute-resolution authorities where applicable.
